You have that exactly backwards. A CEO / board of directors actively pursues suitors when business is good but approaching a plateau. The goal is for the suitor to believe that, with the companies combined, the plateau can be surmounted. In that situation the purchasing company pays a premium (overnight Steven Laub gets significantly richer and, if he chooses, no longer has the stress of running a $2.3 billion dollar company).
The ideal merger is one in which both companies are approaching a plateau. That situation typically makes large shareholders wet themselves in excitement.
If Atmel were on the rails there would be talk of a hostile takeover.
Microchip and other (cannot remember who now) failed in a hostile takeover a few years ago. It might be interesting if they managed it this time round.
A new chip that offers the best of AVR & PIC could be good or maybe they would buy Atmel to sink there competition.

That would be ON semiconductor, is mentioned in the article.
They would take care of the scrap that would be left over after Microchip had picked the cherries off the cake (diamonds was the word quoted from Microchips chairman).
ON was split off of Motorola in 1999, and has been taking over other companies.
A few years ago is seven years and quite a few takeovers in the meantime.
I doubt the scrap left over after Microchip would have their go at Atmel, is still that interesting to ON in their current form.

how popular they are ( how many millions they sell )
