BSOD on upload?

I'm pretty sure this is a problem with my hard/software, but any insite would be greatly appreciated.

I just got a usb arduino from SFE, and attempted (as shown in the guide) to upload "led blink" problem is, when I click upload, or verify code, my computer flashes a blue screen of death and quickly restarts... any ideas?? this is really bugging me.

If it happens when you verify code, then it's probably a problem with cygwin, not the USB drivers (which was my first thought). Do you have another copy installed? What other programs do you have running when you try to verify your code? This is on Windows, correct?

Laptop specs are as follows:

Clevo D470V Notebook (17" screen)
Intel Pentium 4, 3Ghz, 800MHz FSB
512Mb DDR333 (I believe)
60Gb 5400rpm Toshiba HDD (2 partitions, NTFS)
ATI Radeon Mobility M10 graphics (early release radeon 9600 mobile, if I remember correctly)
Dual Displays (internal and external, both at 1440x900 60Hz)
Running Windows MCE 2005 SP2

I normally run quite a few programs at once, but I've already tried killing the biggest offenders...

the full list of background programs is as follows:

Turtle Beach Audio Advantage Roadie Manager << USB Sound Card Manager
BitDefender 9 << Antivirus/Firewall/Antispyware/ect
Rainmeter << Resource Monitor/Widgets
ActiveSync 4 (not in Serial Mode) << PDA Sync
DeskSweeper << Desktop icon hider for better display of wallpaper
UltraMon << Multiple Display Manager
NetDrive << FTP Virtual Drive Manager
Hotkey Manager << generic laptop hotkey software
Zetera Service << NetGear SC101 Network Attached Storage Service

I'm about to try in Safe Mode... that should tell me if its any of my background tasks

BTW:
in the meantime, my (decrepit) desktop works beautifully to program the board, and I've got it happily blinking out "Hello World!" in international morse at the moment.

tried in Safe Mode... Still Crashes ... what sort of problem could this be?

So I got the BSOD to persist on the screen by changing my start up and recovery settings...

the stop code is :
0x0000008E (0x00000005, 0xBAFF0B7C, 0xB84D8A20, 0x00000000)

i looked it up, and it seems to list as bad ram, but memtest86 is giving me the all clear (ran 8 passes last night)

i guess it could be hard drive, so I'm checking its health next, and I got one search result that said maybe video drivers... but i think its curing a symptom there.

any further ideas?
