CP2102 and ESP12 powered from 12v and USB

Datasheet from CP2102 states that if you want Bus-Powered, you have to tie the +5V from the usb connector to the REGIN pin on the CP2102. it also has a voltage divider to come down to 3.4V to apply to VBUS.

My question is, since I already have a schematic that uses a AZ11117 3.3V (that comes from a 12v to 5v converter) to power the ESP12, can i tap into that to send 3.3v to the VBUS pin on the CP2102?

also, am I right in assuming to not connect the VDD pin on CP2102 back into the 3.3v rail? i would like to program the esp12 without having to connect a 12v source, but not required.

and finally it says to connect the RST via 1k resistor to Vio. what is VIO? 3.3? or 5v?
